Dissolve the company

The company applying for deregistration must meet the following conditions:

• All members of the company agree to deregistration;

• The company has not yet started operation or business, or has not operated or operated business within 3 months immediately before the application;

• The company has no outstanding debts;

• The company is not a party to any legal proceedings;

• The company’s assets do not include real estate located in Hong Kong;

• (If the company is a holding company) all the assets of the company's subsidiaries do not include real estate located in Hong Kong; and

• The company has obtained the "Notice of No Objection to Deregistration of the Company" ("Notice of No Objection") from the Commissioner of Inland Revenue.

The application for deregistration must be delivered to the Companies Registry in Form NDR1 within 3 months from the date of the notification of no objection. The form must be delivered together with the required fees and a notice of no objection.
